General Terms & Conditions for Training & Facilitation Services (Singapore)

1) Scope of Services
1.1 TOCA International Pte. Ltd. (“TOCA”) provides training, facilitation, coaching (Facilitation) and related services as stated in TOCA’s written proposal/confirmation (“Training”).
1.2 Changes to content, dates, venue, duration, or participant numbers require written agreement (email is sufficient).

2) Fees & Payment
2.1 Fees & reimbursable expenses are stated in the proposal/contract. All amounts are exclusive of GST & applicable taxes.
2.2 Unless agreed otherwise in writing, the Client pays 50% in advance upon confirmation and 50% immediately after the last Facilitation session against invoice.
2.3 Late payment may result in suspension of services and late-payment interest at the maximum rate permitted by law.

3) Cancellation & Postponement
3.1 Client cancellation
• >30 calendar days before Day 1: no fee; any non-refundable third-party costs (e.g., travel) charged at cost.
• 15–30 days50% of the total Training fee.
• 0–14 days100% of the total Training fee.
3.2 Client postponement within 30 days of the Facilitation date may be treated as cancellation at TOCA’s discretion unless agreed otherwise in writing.
3.3 TOCA reschedule/cancellation: If TOCA must reschedule or cancel (e.g., illness or force majeure), TOCA will offer alternative dates. If none suit, prepaid fees for undelivered services will be refunded. No liability for indirect or consequential loss.

4) Client Responsibilities
4.1 Provide agreed facilities/equipment, participant availability, and any required internal approvals.
4.2 Ensure participant conduct and safety at the venue (on-site or virtual).

5) Intellectual Property
5.1 All methods, content, and materials remain TOCA’s (or licensors’) intellectual property.
5.2 Materials are licensed for internal learning use only; reproduction, modification, distribution, or external/commercial use requires prior written consent.

6) Confidentiality & Data Protection
6.1 Both parties keep confidential all non-public business and personal information obtained through the Facilitation, except where disclosure is required by law.
6.2 TOCA handles personal data per Singapore’s PDPA (2012) & uses it only to deliver, administer and improve Facilitation.

7) Liability
7.1 TOCA will render services with due professional care.
7.2 To the maximum extent permitted by law, TOCA’s aggregate liability for any claim arising from the Training is limited to the total fee paid for that Facilitation. TOCA is not liable for indirect, consequential, or loss-of-profit damages.

8) Force Majeure
8.1 Neither party is liable for delay/failure to perform due to events beyond reasonable control (including acts of God, epidemic/pandemic, governmental orders, strikes, war, utility or telecom failures).
8.2 The affected party will notify the other without undue delay; timelines extend for the Force-Majeure period and both parties will mitigate impacts.

9) Governing Law & Jurisdiction
9.1 These Terms and any Facilitation agreement are governed by the laws of Singapore.
9.2 The parties submit to the exclusive jurisdiction of the Singapore courts.

10) Language
10.1 Issued in English. If translated, the English version prevails.

General Terms and Conditions for Training & Facilitation Services

  1. Scope of Services
    1. Hansen Beck (Thailand) Co., Ltd. (“Hansen Beck”) delivers training, facilitation, coaching and related services as described in the written proposal and/or confirmation (“Facilitation”).
    2. Any changes to content, dates, venue, duration or number of participants must be agreed in writing (email is sufficient).
  2. Fees and Payment Terms
    1. Facilitation fees and reimbursable expenses are stated in the proposal/agreement. All amounts are exclusive of VAT and applicable taxes.
    2. Unless agreed otherwise in writing, the Client shall pay 50% of the total fee in advance upon confirmation of the Facilitation, and 50% immediately after the last training session, upon receipt of invoice
    3. If payment is delayed, Hansen Beck reserves the right to suspend services and to charge any applicable late payment interest permitted by law.
  3. Cancellation and Postponement
    1. Cancellation by the Client 
      1. More than 30 calendar days before the first Facilitation day: no cancellation fee; non-refundable costs (e.g. booked travel) will be charged at cost.
      2. 15–30 days before the first Facilitation day: 50% of the total Facilitation fee.
      3. 0–14 days before the first Facilitation day: 100% of the total Facilitation fee
    2. Postponement requested by the Client within 30 days of the Facilitation date may be treated as a cancellation at Hansen Beck’s discretion, unless the parties agree otherwise in writing.
    3. Cancellation by Hansen Beck
      In the unlikely event that Hansen Beck must cancel or reschedule (e.g. illness, force majeure), Hansen Beck will offer alternative dates. If no suitable date is found, any prepaid fees for undelivered services will be refunded in full. Hansen Beck is not liable for any indirect or consequential losses.
  4. Client Responsibilities
    1. The Client ensures that facilities, equipment, and participant availability are provided as agreed.
    2. The Client is responsible for the conduct and safety of participants and for any internal approvals required.
  5. Intellectual Property and Copyright
    1. All training materials, methods, and content (printed, digital, or otherwise) remain the intellectual property of Hansen Beck or its licensors.
    2. The Client and participants may use the materials for internal learning only. Copying, modifying, sharing, or using the materials for other training or commercial purposes without prior written consent is prohibited.
  6. Confidentiality and Data Protection
    1. Both parties shall keep confidential all business, personal and organizational information obtained in connection with the Facilitation, except where disclosure is required by law.
    2. Hansen Beck will handle personal data in accordance with applicable data protection laws, including the Thai Personal Data Protection Act (PDPA), and only for the purposes of delivering and improving the Facilitation.
  7. Liability
    1. Hansen Beck will deliver services with due professional care.
    2. To the maximum extent permitted by law, Hansen Beck’s liability for any claim arising out of the Facilitation is limited to the total fee paid for the specific Facilitation. Hansen Beck is not liable for indirect, consequential, or loss-of-profit damages.
  8. Governing Law and Jurisdiction
    1. These Terms and any Facilitation agreement are governed by the laws of Thailand.
    2. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Bangkok, Thailand.
  9. Language
    1. These Terms are issued in English. If translated, the English version shall prevail in case of inconsistency.
